Operator & Legal Identity: This website and its products and services are operated by Digisoul For AI Services, a sole proprietorship (individual establishment) registered in the Arab Republic of Egypt under Commercial Register No. 35844 (Unified Commercial Register No. 10610.08000.35844) and Tax Registration No. 775-402-346. Registered office: Office A, 2nd Floor, 53 Capital Mall (behind the Court), Fifth Settlement (New Cairo), Cairo Governorate, Egypt.

Summary: These Terms govern your use of the Digisoul website and our products and services. They explain who may use Digisoul, how accounts and orders work, how prices, currency and tax are handled, the licences you receive for digital products, the nature and limits of our AI services, and your statutory consumer rights under Egyptian law. By using our website or buying from us, you agree to these Terms.

1. Acceptance of Terms, Eligibility & Capacity

By accessing or using https://digisoul.io (the “Website”), creating an account, or placing an order, you agree to be bound by these Terms of Service (“Terms”) and by the policies they reference. If you do not agree, please do not use the Website or our products and services (together, the “Services”).

You must be at least 18 years old and have the legal capacity to enter into a binding contract. If you are under 18, you may use the Services only with the consent and supervision of a parent or legal guardian, who accepts these Terms on your behalf and is responsible for your use. If you use the Services on behalf of an organisation, you confirm that you are authorised to bind that organisation, and “you” includes that organisation.

Where a separately signed agreement, proposal, or Statement of Work exists between you and Digisoul, that agreement governs to the extent of any conflict with these Terms for the matters it covers.

2. Definitions

“Digisoul”, “we”, “us”, “our” — the operator of the Website and provider of the Services.
“User”, “you”, “your” — any person or organisation that accesses the Website or uses the Services.
“Services” — the Website and all products, content, training, subscriptions, advisory, software, and community offered by Digisoul.
“Digital Products” — downloadable or online-access knowledge products, including the Brain knowledge SKUs and the AI4X Prompt Library.
“Account” — the registration profile you create to access certain Services.
“Order” — your request to purchase a product or service, completed at checkout.
“AI Services” — features, tools, or outputs that use artificial intelligence, including JafarOS and AI-assisted content.
“Content” — text, data, images, code, prompts, materials, and other information made available through the Services.

3. Who We Are & Our Services

Digisoul operates from Cairo, Arab Republic of Egypt, and offers an integrated ecosystem of five pillars:

Training — AI4X paid programmes (4-week from USD 249, 8-week from USD 479, 12-week from USD 679) and the Skills4X free learning track: online courses and certifications in applied AI.
Digital Products — the Brain line of digital knowledge products and the AI4X Prompt Library subscription (USD 49/year).
Consulting / Advisory — Khabeer AI, our advisory services delivered under individual proposals or Statements of Work.
Agentic SaaS — JafarOS, our software-as-a-service platform.
Community — Diwan AI, our free community.

Digisoul’s AI Management System is certified to ISO/IEC 42001:2023. We describe our Services factually; availability, features, and pricing may change as set out in these Terms.

4. Accounts & Registration

You agree to provide accurate, current, and complete information when you register and to keep it up to date. Registration may be subject to our Registration Policy.
You are responsible for safeguarding your login credentials and for all activity under your Account. Notify us promptly at bd@digisoul.io of any unauthorised use or security breach.
You may not share, sell, or transfer your Account, or use another person’s Account without permission.
We may suspend, restrict, or close an Account that contains false information, is used in breach of these Terms, or is involved in misuse, fraud, or unlawful activity.

5. Acceptable Use

You agree to use the Services only for lawful purposes and in compliance with all applicable Egyptian law, including the Anti-Cyber and Information Technology Crimes Law No. 175/2018. You must not:

access, interfere with, damage, or disrupt the Website, its servers, or any systems or networks connected to it, or attempt to gain unauthorised access to any account, system, or data;
introduce viruses, malware, or any harmful or disruptive code, or carry out denial-of-service or similar attacks;
scrape, crawl, harvest, data-mine, or use automated means to extract Content or data, except as expressly permitted in writing;
reverse-engineer, decompile, disassemble, or attempt to derive the source code or underlying models of any software, including JafarOS, except to the extent this restriction is prohibited by law;
copy, resell, sublicense, rent, or redistribute access to the Services, Digital Products, or training materials;
infringe any intellectual property, privacy, or other rights, or upload personal data of others without a lawful basis;
post or transmit unlawful, defamatory, infringing, fraudulent, or harmful content, or use the Services to deceive or harm others.

You are responsible for the security and lawful use of any account, system, or content under your control. We may investigate and take appropriate action, including reporting to the competent authorities, where required by law.

6. Orders, Pricing, Currency & Taxes

Orders. An Order is an offer to purchase. A contract is formed when we confirm the Order or grant access. Before you complete an Order, we provide the information required for distance contracts under Consumer Protection Law No. 181/2018, including the identity of the seller, a description of the product or service, the total price, applicable taxes, and the means of delivery or access.
Pricing & currency. Prices for certain products may be displayed in US Dollars (USD) for reference and may be charged in Egyptian Pounds (EGP) at checkout, converted at the applicable rate shown at the time of payment. Prices may change, but changes do not affect Orders already confirmed.
Taxes. Prices are stated inclusive or exclusive of tax as indicated at checkout. Where applicable, Value Added Tax (VAT) is charged at the standard rate of 14% in accordance with VAT Law No. 67/2016 (as amended).
Tax invoice. We issue a tax-compliant electronic invoice (e-invoice) through the Egyptian Tax Authority e-invoicing system where required.
Payment. Payments are processed through CBE-licensed payment gateways (such as Paymob). See our Online Payment Policy.

7. Digital Products & Licence

When you purchase a Digital Product (such as a Brain knowledge product or an AI4X Prompt Library subscription), Digisoul grants you a personal, non-exclusive, non-transferable, revocable licence to access and use that Digital Product for your own lawful, internal, non-commercial use, subject to these Terms and any product-specific terms.

You may not, unless expressly permitted: copy, publish, share, resell, sublicense, or redistribute the Digital Product; remove proprietary notices; use it to build a competing product; or use automated means to extract its contents. All intellectual property in the Digital Products remains with Digisoul or its licensors. See also our Delivery & Digital Fulfilment Policy.

8. Training, Subscriptions & Advisory

Training (AI4X / Skills4X). Enrolment, cohort scheduling, and participation are subject to our Registration Policy. Certificates are issued on completion of the relevant requirements.
Subscriptions (AI4X Prompt Library). Subscriptions run for the paid period and provide access for that period. You may cancel at any time; access continues until the end of the paid period.
Advisory (Khabeer AI). Advisory engagements are governed by the individual proposal or Statement of Work agreed between you and Digisoul.

9. Refunds

Digital Products and instantly-delivered digital content are final once delivered, accessed, or downloaded and are not returnable, except for (a) a verified defect or material non-conformity, (b) a duplicate or erroneous charge, or (c) non-delivery or access failure not remedied within 7 days. Nothing in these Terms limits your mandatory rights under Consumer Protection Law No. 181/2018. The statutory right to cancel an online order within 7 days of placement applies up to the moment you access or download the Digital Product or begin the service; at checkout you acknowledge that delivery or access begins immediately and that the cooling-off period ends at that point. 10. Intellectual Property

The Website and the Services, including all text, graphics, logos, trademarks, course materials, prompts, software, and the Brain, AI4X, Skills4X, JafarOS, Khabeer AI, and Diwan AI names and content, are owned by Digisoul or its licensors and are protected by intellectual property laws. Except for the limited licences granted in these Terms, no right, title, or interest is transferred to you. You may not use Digisoul’s names, trademarks, or branding without our prior written consent.

11. User Content, Feedback & Reviews

You retain ownership of content you submit (for example, prompts, files, posts, or reviews). You grant Digisoul a non-exclusive, worldwide, royalty-free licence to host, store, and use that content to the extent necessary to provide the Services and meet legal obligations. You are responsible for ensuring you have the rights to submit your content and that it does not infringe any third-party rights or applicable law.

If you provide feedback, suggestions, or reviews, you grant us the right to use them without restriction or obligation to you. We may moderate or remove user content that breaches these Terms. We do not use your confidential or personal data to train models without your explicit consent or a contract that permits it.

12. Third-Party Services & Links

The Services may rely on or link to third-party services, including payment providers (such as Paymob), learning-management systems, and cloud and AI infrastructure providers. Your use of those services is governed by their own terms and privacy policies, in addition to ours. Digisoul is not responsible for third-party services or content that it does not control. Links to external websites are provided for convenience and do not imply endorsement.

13. AI Services — Nature & Limitations

Our AI Services, including JafarOS and AI-assisted content, generate outputs using artificial intelligence. AI outputs may be inaccurate, incomplete, outdated, or unsuitable for your particular purpose. You must review, verify, and exercise independent professional judgment before relying on or acting on any AI output.

AI outputs do not constitute professional, legal, financial, medical, or other regulated advice, and no human-expert relationship is created by their use. You are responsible for how you use AI outputs and for compliance in your own context. Our approach to responsible AI and human oversight is described in our Ethical AI Statement and our Human Oversight & User Safety statement.

14. Disclaimers & Limitation of Liability

To the maximum extent permitted by Egyptian law, the Services and all Content are provided “as is” and “as available”, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that outputs will meet your requirements.

To the maximum extent permitted by law, Digisoul will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. To the maximum extent permitted by law, Digisoul’s total aggregate liability arising out of or relating to the Services will not exceed the amount you paid to Digisoul for the product or service giving rise to the claim in the twelve (12) months before the event.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Egyptian law, including your mandatory consumer rights under Consumer Protection Law No. 181/2018, or liability for death or personal injury caused by negligence, or for fraud.

15. Indemnity

To the extent permitted by law, you agree to indemnify and hold Digisoul harmless from reasonable claims, damages, and costs arising from your unlawful use of the Services, your breach of these Terms, your misuse of AI outputs, or your infringement of the rights of any third party. This indemnity is limited to losses directly and reasonably attributable to your acts or omissions.

16. Privacy & Data Protection

We process personal data in accordance with the Personal Data Protection Law No. 151/2020 and its Executive Regulations. Our Privacy Policy explains what data we collect, how we use it, the legal bases we rely on, your rights as a data subject, and how to contact us. By using the Services, you acknowledge our processing of personal data as described there. Please also see our Cookie Policy and our Data Retention & User Rights statement.

17. Electronic Communications & E-Signatures

You agree to receive communications, notices, and records from us electronically (by email or through the Website), and you agree that electronic records and acceptances (such as clicking “I agree” or completing checkout) satisfy any legal requirement that such communications be in writing. Electronic records, contracts, and signatures used through the Services have legal validity and evidential weight in accordance with the Electronic Signature Law No. 15/2004 and the regulations of ITIDA, provided the applicable requirements are met.

18. Suspension & Termination

You may stop using the Services at any time and close your Account. We may suspend or terminate your access, in whole or in part, if you breach these Terms, fail to pay fees when due, or create a security, legal, or reputational risk, or where required by law. Where reasonable, we will give notice. On termination, the licences granted to you end, and provisions that by their nature should survive — including intellectual property, disclaimers, limitation of liability, indemnity, and governing law — continue to apply. We handle data after termination in accordance with our Data Retention & User Rights statement and applicable law.

19. Force Majeure

Digisoul is not liable for any failure or delay in performing its obligations caused by events beyond its reasonable control, including natural disasters, fire, flood, epidemic or pandemic, war, civil unrest, government action, strikes, failures of utilities or telecommunications, internet or hosting outages, or failures of third-party providers.

20. Changes to These Terms

We may update these Terms from time to time to reflect changes in our Services, technology, or the law. We will post the updated version with a new effective date. Material changes will be notified through the Website or by email where appropriate. Your continued use of the Services after the changes take effect constitutes acceptance of the updated Terms.

21. Governing Law & Jurisdiction

These Terms are governed by the laws of the Arab Republic of Egypt. The competent courts of Cairo have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services, without prejudice to any mandatory consumer-protection rights that entitle you to bring proceedings in another competent forum or to escalate to the Consumer Protection Agency (CPA).

Regulatory Framework (Egypt, 2026)

These Terms are designed to comply with the following Egyptian legislation, where relevant:

Consumer Protection Law No. 181/2018 and its Executive Regulations (PM Decree 822/2019) — mandatory pre-contract disclosures and distance-selling consumer rights.
Anti-Cyber and Information Technology Crimes Law No. 175/2018 — lawful use of information systems and web-administrator obligations.
Electronic Signature Law No. 15/2004 (ITIDA) — validity of electronic records, contracts, and signatures.
VAT Law No. 67/2016 (as amended) and the Egyptian Tax Authority e-invoicing system — VAT at 14% where applicable and tax-compliant e-invoices.
Central Bank of Egypt (CBE) e-payment-services regulations and PCI DSS v4.0 — processing of payments through CBE-licensed gateways.
Personal Data Protection Law No. 151/2020 and its Executive Regulations (PM Decree 816/2025) — protection of personal data (see our Privacy Policy).

ملخص: تحكم هذه الشروط استخدامك لموقع Digisoul ولمنتجاتنا وخدماتنا. وهي توضّح من يحق له استخدام Digisoul، وكيفية عمل الحسابات والطلبات، وكيفية التعامل مع الأسعار والعملة والضريبة، والتراخيص التي تحصل عليها للمنتجات الرقمية، وطبيعة خدمات الذكاء الاصطناعي لدينا وحدودها، وحقوقك القانونية كمستهلك بموجب القانون المصري. وباستخدامك لموقعنا أو شرائك منّا، فإنك توافق على هذه الشروط.

1. قبول الشروط والأهلية والصفة القانونية

بدخولك أو استخدامك للموقع https://digisoul.io («الموقع»)، أو إنشائك حساباً، أو تقديمك طلباً، فإنك توافق على الالتزام بشروط الخدمة هذه («الشروط») وبالسياسات التي تحيل إليها. وإذا كنت لا توافق، فيُرجى عدم استخدام الموقع أو منتجاتنا وخدماتنا (ويُشار إليها مجتمعةً بـ«الخدمات»).

يجب ألّا يقل عمرك عن 18 عاماً وأن تتمتع بالأهلية القانونية لإبرام عقد ملزم. وإذا كان عمرك أقل من 18 عاماً، فلا يجوز لك استخدام الخدمات إلّا بموافقة وإشراف أحد الوالدين أو الوصي القانوني، الذي يقبل هذه الشروط نيابةً عنك ويكون مسؤولاً عن استخدامك. وإذا كنت تستخدم الخدمات نيابةً عن جهة، فإنك تؤكد أنك مفوّض بإلزام تلك الجهة، ويشمل لفظ «أنت» تلك الجهة.

في حال وجود اتفاق موقّع منفصل، أو عرض، أو بيان عمل بينك وبين Digisoul، فإن ذلك الاتفاق يسري في حدود أي تعارض مع هذه الشروط بشأن المسائل التي يتناولها.

2. التعريفات

«Digisoul» و«نحن» و«لنا» — مشغّل الموقع ومقدّم الخدمات.
«المستخدم» و«أنت» — أي شخص أو جهة يدخل الموقع أو يستخدم الخدمات.
«الخدمات» — الموقع وجميع المنتجات والمحتوى والتدريب والاشتراكات والاستشارات والبرمجيات والمجتمع التي يقدّمها Digisoul.
«المنتجات الرقمية» — منتجات المعرفة القابلة للتنزيل أو للوصول عبر الإنترنت، بما في ذلك منتجات المعرفة Brain ومكتبة الموجّهات AI4X Prompt Library.
«الحساب» — ملف التسجيل الذي تنشئه للوصول إلى خدمات معيّنة.
«الطلب» — طلبك لشراء منتج أو خدمة، ويُستكمل عند إتمام الدفع.
«خدمات الذكاء الاصطناعي» — الميزات أو الأدوات أو المخرجات التي تستخدم الذكاء الاصطناعي، بما في ذلك JafarOS والمحتوى المدعوم بالذكاء الاصطناعي.
«المحتوى» — النصوص والبيانات والصور والشيفرة والموجّهات والمواد وغيرها من المعلومات المتاحة عبر الخدمات.

3. من نحن وخدماتنا

يعمل Digisoul من القاهرة، جمهورية مصر العربية، ويقدّم منظومةً متكاملةً من خمس ركائز:

التدريب — برامج AI4X المدفوعة (4 أسابيع ابتداءً من 249 دولاراً أمريكياً، و8 أسابيع ابتداءً من 479 دولاراً، و12 أسبوعاً ابتداءً من 679 دولاراً) ومسار التعلّم المجاني Skills4X: دورات وشهادات عبر الإنترنت في الذكاء الاصطناعي التطبيقي.
المنتجات الرقمية — مجموعة منتجات المعرفة الرقمية Brain واشتراك مكتبة الموجّهات AI4X Prompt Library (49 دولاراً سنوياً).
الاستشارات — Khabeer AI، خدماتنا الاستشارية المقدَّمة بموجب عروض أو بيانات عمل فردية.
البرمجيات كخدمة الوكيلية — JafarOS، منصّتنا للبرمجيات كخدمة.
المجتمع — Diwan AI، مجتمعنا المجاني.

إن نظام إدارة الذكاء الاصطناعي لدى Digisoul حاصل على شهادة ISO/IEC 42001:2023. ونصف خدماتنا وصفاً واقعياً؛ وقد يتغيّر توافرها وميزاتها وأسعارها على النحو المبيّن في هذه الشروط.

4. الحسابات والتسجيل

توافق على تقديم معلومات دقيقة وحديثة وكاملة عند التسجيل، وعلى تحديثها باستمرار. وقد يخضع التسجيل لـسياسة التسجيل الخاصة بنا.
أنت مسؤول عن حماية بيانات تسجيل دخولك وعن جميع الأنشطة التي تتم عبر حسابك. ويُرجى إخطارنا فوراً على bd@digisoul.io بأي استخدام غير مصرّح به أو خرق أمني.
لا يجوز لك مشاركة حسابك أو بيعه أو نقله، أو استخدام حساب شخص آخر دون إذن.
يجوز لنا تعليق أو تقييد أو إغلاق أي حساب يتضمّن معلومات غير صحيحة، أو يُستخدم بالمخالفة لهذه الشروط، أو يكون متورّطاً في إساءة استخدام أو احتيال أو نشاط غير مشروع.

5. الاستخدام المقبول

توافق على استخدام الخدمات للأغراض المشروعة فقط وبما يتوافق مع جميع القوانين المصرية السارية، بما في ذلك قانون مكافحة جرائم تقنية المعلومات رقم 175/2018. ويجب ألّا تقوم بما يلي:

الوصول إلى الموقع أو خوادمه أو أي أنظمة أو شبكات متصلة به أو الإضرار بها أو تعطيلها أو التشويش عليها، أو محاولة الوصول غير المصرّح به إلى أي حساب أو نظام أو بيانات؛
إدخال فيروسات أو برمجيات خبيثة أو أي شيفرة ضارة أو معطِّلة، أو تنفيذ هجمات حجب الخدمة أو ما شابهها؛
كشط المحتوى أو البيانات أو جمعها أو تنقيبها أو استخلاصها بوسائل آلية، إلّا بما هو مصرّح به كتابةً صراحةً؛
الهندسة العكسية لأي برمجيات أو فكّ تجميعها أو محاولة استخلاص شيفرتها المصدرية أو نماذجها الأساسية، بما في ذلك JafarOS، إلّا في الحدود التي يحظر فيها القانون هذا القيد؛
نسخ الوصول إلى الخدمات أو المنتجات الرقمية أو المواد التدريبية أو إعادة بيعه أو الترخيص من الباطن به أو تأجيره أو إعادة توزيعه؛
انتهاك أي حقوق ملكية فكرية أو خصوصية أو غيرها، أو رفع بيانات شخصية للغير دون أساس قانوني؛
نشر أو بثّ محتوى غير مشروع أو تشهيري أو منتهِك للحقوق أو احتيالي أو ضار، أو استخدام الخدمات لخداع الغير أو الإضرار به.

أنت مسؤول عن أمن أي حساب أو نظام أو محتوى يخضع لسيطرتك وعن استخدامه المشروع. ويجوز لنا التحقيق واتخاذ الإجراء المناسب، بما في ذلك الإبلاغ للجهات المختصة، حيثما يقتضي القانون ذلك.

6. الطلبات والأسعار والعملة والضرائب

الطلبات. يُعدّ الطلب عرضاً للشراء. ويُبرم العقد عند تأكيدنا الطلب أو منحك حق الوصول. وقبل إتمامك للطلب، نوفّر المعلومات المطلوبة للعقود عن بُعد بموجب قانون حماية المستهلك رقم 181/2018، بما في ذلك هوية البائع، ووصف المنتج أو الخدمة، والسعر الإجمالي، والضرائب المطبَّقة، ووسيلة التسليم أو الوصول.
الأسعار والعملة. قد تُعرض أسعار بعض المنتجات بالدولار الأمريكي (USD) للاسترشاد، وقد يتم تحصيلها بالجنيه المصري (EGP) عند الدفع، محوّلةً وفق السعر المعمول به والمعروض وقت الدفع. وقد تتغيّر الأسعار، لكن التغييرات لا تؤثّر على الطلبات المؤكَّدة بالفعل.
الضرائب. تُذكر الأسعار شاملةً أو غير شاملة للضريبة على النحو المبيّن عند الدفع. وحيثما ينطبق، تُحصَّل ضريبة القيمة المضافة (VAT) بالسعر القياسي البالغ 14% وفقاً لقانون ضريبة القيمة المضافة رقم 67/2016 (وتعديلاته).
الفاتورة الضريبية. نُصدر فاتورةً إلكترونيةً ممتثلةً للضريبة عبر نظام الفاتورة الإلكترونية لمصلحة الضرائب المصرية حيثما يُطلب ذلك.
الدفع. تُعالَج المدفوعات عبر بوابات دفع مرخّصة من البنك المركزي المصري (مثل Paymob). راجع سياسة الدفع عبر الإنترنت.

7. المنتجات الرقمية والترخيص

عند شرائك منتجاً رقمياً (مثل منتج معرفة Brain أو اشتراك مكتبة الموجّهات AI4X Prompt Library)، يمنحك Digisoul ترخيصاً شخصياً غير حصري وغير قابل للنقل وقابلاً للإلغاء للوصول إلى ذلك المنتج الرقمي واستخدامه لاستخدامك الداخلي المشروع وغير التجاري، وفقاً لهذه الشروط ولأي شروط خاصة بالمنتج.

لا يجوز لك، ما لم يُصرَّح بذلك صراحةً: نسخ المنتج الرقمي أو نشره أو مشاركته أو إعادة بيعه أو الترخيص من الباطن به أو إعادة توزيعه؛ أو إزالة الإشعارات الخاصة بالملكية؛ أو استخدامه لبناء منتج منافس؛ أو استخدام وسائل آلية لاستخلاص محتوياته. وتظل جميع حقوق الملكية الفكرية في المنتجات الرقمية مملوكةً لـ Digisoul أو للمرخّصين له. راجع أيضاً سياسة التسليم والتنفيذ الرقمي.

8. التدريب والاشتراكات والاستشارات

التدريب (AI4X / Skills4X). يخضع التسجيل وجدولة الدفعات والمشاركة لـسياسة التسجيل. وتُصدر الشهادات عند استيفاء المتطلبات ذات الصلة.
الاشتراكات (AI4X Prompt Library). تسري الاشتراكات للمدة المدفوعة وتتيح الوصول طوال تلك المدة. ويجوز لك الإلغاء في أي وقت؛ ويستمر الوصول حتى نهاية المدة المدفوعة.
الاستشارات (Khabeer AI). تخضع الارتباطات الاستشارية للعرض الفردي أو بيان العمل المتفق عليه بينك وبين Digisoul.

تُبيَّن شروط الاسترداد لكل ما سبق في سياسة الاسترداد.

9. الاسترداد

تُعدّ المنتجات الرقمية والمحتوى الرقمي المسلَّم فورياً نهائيةً بمجرد تسليمها أو الوصول إليها أو تنزيلها وغير قابلة للإرجاع، باستثناء (أ) عيب مُتحقَّق منه أو عدم مطابقة جوهرية، أو (ب) خصم مكرّر أو خاطئ، أو (ج) عدم التسليم أو فشل الوصول الذي لم تتم معالجته خلال 7 أيام. ولا يحدّ أي بند في هذه الشروط من حقوقك الإلزامية بموجب قانون حماية المستهلك رقم 181/2018. وينطبق الحق القانوني في إلغاء الطلب عبر الإنترنت خلال 7 أيام من تقديمه حتى لحظة وصولك إلى المنتج الرقمي أو تنزيله أو بدء الخدمة؛ وعند الدفع تُقرّ بأن التسليم أو الوصول يبدأ فوراً وأن فترة التروّي تنتهي عند تلك اللحظة. وتُبيَّن قواعد الاسترداد والإلغاء الكاملة — بما في ذلك التدريب والاشتراكات والاستشارات — في سياسة الاسترداد.

10. الملكية الفكرية

إن الموقع والخدمات، بما في ذلك جميع النصوص والرسوم والشعارات والعلامات التجارية والمواد التدريبية والموجّهات والبرمجيات، وأسماء ومحتوى Brain وAI4X وSkills4X وJafarOS وKhabeer AI وDiwan AI، مملوكة لـ Digisoul أو للمرخّصين له ومحمية بقوانين الملكية الفكرية. وباستثناء التراخيص المحدودة الممنوحة في هذه الشروط، لا يُنقل إليك أي حق أو ملكية أو مصلحة. ولا يجوز لك استخدام أسماء Digisoul أو علاماته التجارية أو هويته دون موافقتنا الكتابية المسبقة.

11. محتوى المستخدم والملاحظات والمراجعات

تحتفظ بملكية المحتوى الذي تقدّمه (مثل الموجّهات أو الملفات أو المنشورات أو المراجعات). وتمنح Digisoul ترخيصاً غير حصري وعالمياً ومعفى من الإتاوات لاستضافة ذلك المحتوى وتخزينه واستخدامه بالقدر اللازم لتقديم الخدمات والوفاء بالالتزامات القانونية. وأنت مسؤول عن التأكد من امتلاكك الحقوق اللازمة لتقديم محتواك وأنه لا ينتهك أي حقوق للغير أو أي قانون ساري.

وإذا قدّمت ملاحظات أو اقتراحات أو مراجعات، فإنك تمنحنا الحق في استخدامها دون قيد أو التزام تجاهك. ويجوز لنا تعديل أو إزالة محتوى المستخدم الذي يخالف هذه الشروط. ولا نستخدم بياناتك السرية أو الشخصية لتدريب النماذج دون موافقتك الصريحة أو عقد يسمح بذلك.

12. خدمات وروابط الأطراف الثالثة

قد تعتمد الخدمات على خدمات أطراف ثالثة أو ترتبط بها، بما في ذلك مزوّدو الدفع (مثل Paymob)، وأنظمة إدارة التعلّم، ومزوّدو البنية السحابية والذكاء الاصطناعي. ويخضع استخدامك لتلك الخدمات لشروطها وسياسات الخصوصية الخاصة بها، بالإضافة إلى شروطنا. ولا يكون Digisoul مسؤولاً عن خدمات أو محتوى الأطراف الثالثة التي لا يسيطر عليها. وتُوفَّر الروابط إلى المواقع الخارجية للتيسير ولا تعني التأييد.

13. خدمات الذكاء الاصطناعي — طبيعتها وحدودها

تولّد خدمات الذكاء الاصطناعي لدينا، بما في ذلك JafarOS والمحتوى المدعوم بالذكاء الاصطناعي، مخرجات باستخدام الذكاء الاصطناعي. وقد تكون هذه المخرجات غير دقيقة أو غير كاملة أو غير محدَّثة أو غير ملائمة لغرضك المحدد. ويجب عليك مراجعتها والتحقق منها وممارسة الحكم المهني المستقل قبل الاعتماد على أي مخرَج للذكاء الاصطناعي أو التصرف بناءً عليه.

لا تشكّل مخرجات الذكاء الاصطناعي مشورة مهنية أو قانونية أو مالية أو طبية أو غيرها من المشورة المنظَّمة، ولا تنشأ عن استخدامها أي علاقة مع خبير بشري. وأنت مسؤول عن كيفية استخدامك لمخرجات الذكاء الاصطناعي وعن الامتثال في سياقك الخاص. ويُوصف نهجنا في الذكاء الاصطناعي المسؤول والإشراف البشري في بيان الذكاء الاصطناعي الأخلاقي وبيان الإشراف البشري وسلامة المستخدم.

14. إخلاء المسؤولية وتحديدها

إلى أقصى حد يسمح به القانون المصري، تُقدَّم الخدمات وجميع المحتوى «كما هي» و«كما هي متاحة»، دون أي ضمانات من أي نوع، صريحةً كانت أم ضمنيةً، بما في ذلك الضمانات الضمنية للرواج التجاري والملاءمة لغرض معيّن وعدم الانتهاك. ولا نضمن أن تكون الخدمات متواصلةً أو خاليةً من الأخطاء أو آمنةً، أو أن تفي المخرجات بمتطلباتك.

وإلى أقصى حد يسمح به القانون، لن يكون Digisoul مسؤولاً عن أي أضرار غير مباشرة أو عرضية أو خاصة أو تبعية أو تأديبية، أو عن أي خسارة في الأرباح أو الإيرادات أو البيانات أو السمعة. وإلى أقصى حد يسمح به القانون، لن تتجاوز المسؤولية الإجمالية الكلية لـ Digisoul الناشئة عن الخدمات أو المتعلقة بها المبلغ الذي دفعته لـ Digisoul مقابل المنتج أو الخدمة محل المطالبة خلال الاثني عشر (12) شهراً السابقة للحدث.

لا يستبعد أي بند في هذه الشروط أو يحدّ من المسؤولية التي لا يجوز استبعادها أو تحديدها بموجب القانون المصري، بما في ذلك حقوقك الإلزامية كمستهلك بموجب قانون حماية المستهلك رقم 181/2018، أو المسؤولية عن الوفاة أو الإصابة الجسدية الناجمة عن الإهمال، أو عن الغش.

15. التعويض

إلى الحد الذي يسمح به القانون، توافق على تعويض Digisoul وإبراء ذمته من المطالبات والأضرار والتكاليف المعقولة الناشئة عن استخدامك غير المشروع للخدمات، أو إخلالك بهذه الشروط، أو إساءة استخدامك لمخرجات الذكاء الاصطناعي، أو انتهاكك لحقوق أي طرف ثالث. ويقتصر هذا التعويض على الخسائر المنسوبة مباشرةً وبشكل معقول إلى أفعالك أو امتناعك.

16. الخصوصية وحماية البيانات

نعالج البيانات الشخصية وفقاً لقانون حماية البيانات الشخصية رقم 151/2020 ولائحته التنفيذية. وتوضّح سياسة الخصوصية الخاصة بنا البيانات التي نجمعها، وكيفية استخدامها، والأسس القانونية التي نعتمد عليها، وحقوقك كصاحب بيانات، وكيفية التواصل معنا. وباستخدامك للخدمات، تُقرّ بمعالجتنا للبيانات الشخصية على النحو الموضّح هناك. ويُرجى الاطّلاع أيضاً على سياسة ملفات تعريف الارتباط وبيان الاحتفاظ بالبيانات وحقوق المستخدم.

17. المراسلات الإلكترونية والتوقيعات الإلكترونية

توافق على تلقّي المراسلات والإشعارات والسجلات منّا إلكترونياً (عبر البريد الإلكتروني أو من خلال الموقع)، وتوافق على أن السجلات والقبولات الإلكترونية (مثل النقر على «أوافق» أو إتمام الدفع) تستوفي أي متطلَّب قانوني بأن تكون هذه المراسلات كتابيةً. وتتمتع السجلات والعقود والتوقيعات الإلكترونية المستخدمة عبر الخدمات بالصحة القانونية والحجية في الإثبات وفقاً لقانون التوقيع الإلكتروني رقم 15/2004 ولوائح هيئة إيتيدا (ITIDA)، بشرط استيفاء المتطلبات المعمول بها.

18. التعليق والإنهاء

يجوز لك التوقف عن استخدام الخدمات في أي وقت وإغلاق حسابك. ويجوز لنا تعليق أو إنهاء وصولك، كلياً أو جزئياً، إذا أخللت بهذه الشروط، أو لم تسدّد الرسوم في موعدها، أو تسبّبت في خطر أمني أو قانوني أو على السمعة، أو حيثما يقتضي القانون ذلك. وسنوجّه إشعاراً حيثما كان ذلك معقولاً. وعند الإنهاء، تنتهي التراخيص الممنوحة لك، وتظل سارية البنود التي ينبغي بطبيعتها أن تبقى — بما في ذلك الملكية الفكرية وإخلاء المسؤولية وتحديد المسؤولية والتعويض والقانون الحاكم. ونتعامل مع البيانات بعد الإنهاء وفقاً لـبيان الاحتفاظ بالبيانات وحقوق المستخدم والقانون الساري.

19. القوة القاهرة

لا يكون Digisoul مسؤولاً عن أي إخفاق أو تأخير في أداء التزاماته نتيجة أحداث خارجة عن سيطرته المعقولة، بما في ذلك الكوارث الطبيعية، أو الحرائق، أو الفيضانات، أو الأوبئة أو الجوائح، أو الحروب، أو الاضطرابات المدنية، أو الإجراءات الحكومية، أو الإضرابات، أو أعطال المرافق أو الاتصالات، أو انقطاع الإنترنت أو الاستضافة، أو إخفاقات مزوّدي الأطراف الثالثة.

20. التعديلات على هذه الشروط

قد نحدّث هذه الشروط من حين لآخر لتعكس التغييرات في خدماتنا أو التقنية أو القانون. وسننشر النسخة المحدَّثة بتاريخ سريان جديد. وسيتم الإخطار بالتغييرات الجوهرية من خلال الموقع أو عبر البريد الإلكتروني حسب الاقتضاء. ويُعدّ استمرارك في استخدام الخدمات بعد سريان التغييرات قبولاً للشروط المحدَّثة.

21. القانون الحاكم والاختصاص القضائي

تخضع هذه الشروط لقوانين جمهورية مصر العربية. وتختص محاكم القاهرة المختصة وحدها بأي نزاع ينشأ عن هذه الشروط أو الخدمات أو يتعلق بها، دون الإخلال بأي حقوق إلزامية لحماية المستهلك تخوّلك رفع الدعوى أمام جهة مختصة أخرى أو التصعيد إلى جهاز حماية المستهلك.

الإطار التنظيمي (مصر، 2026)

صُمّمت هذه الشروط للامتثال للتشريعات المصرية التالية، حيثما كانت ذات صلة:

قانون حماية المستهلك رقم 181/2018 ولائحته التنفيذية (قرار رئيس مجلس الوزراء 822/2019) — الإفصاحات الإلزامية السابقة للتعاقد وحقوق المستهلك في البيع عن بُعد.
قانون مكافحة جرائم تقنية المعلومات رقم 175/2018 — الاستخدام المشروع لنظم المعلومات والتزامات مدير الموقع.
قانون التوقيع الإلكتروني رقم 15/2004 (هيئة إيتيدا) — صحة السجلات والعقود والتوقيعات الإلكترونية.
قانون ضريبة القيمة المضافة رقم 67/2016 (وتعديلاته) ونظام الفاتورة الإلكترونية لمصلحة الضرائب المصرية — ضريبة القيمة المضافة بنسبة 14% حيثما ينطبق والفواتير الإلكترونية الممتثلة للضريبة.
تعليمات البنك المركزي المصري لخدمات الدفع الإلكتروني ومعيار PCI DSS v4.0 — معالجة المدفوعات عبر بوابات مرخّصة من البنك المركزي.
قانون حماية البيانات الشخصية رقم 151/2020 ولائحته التنفيذية (قرار رئيس مجلس الوزراء 816/2025) — حماية البيانات الشخصية (راجع سياسة الخصوصية).
